Job Description Summary

As Senior Legal Counsel – Corporate, you will serve as a key legal advisor and strategic partner on various global corporate matters (Americas, EMEA, APAC). This includes navigating complex international business reorganizations, capital reductions, financings, governance frameworks, and mergers & acquisitions. You will also play a pivotal role in advising and supporting the company's tax transactions as well as various other corporate activities.

Advise and support the company on a broad spectrum of intracompany transactions globally, including cross-border entity restructurings, intracompany financings, recapitalizations, dividends and other projects, collaborating with internal groups (including Tax, Finance, Treasury, and other internal functional teams) Draft and review a variety of complex legal documents, including purchase agreements, license agreements, financing documentation, and board and shareholder resolutions.Provide legal support for mergers and acquisitions, divestitures, joint ventures and other strategic transactions, including drafting applicable legal documentation.Provide legal support on securities law compliance, including assisting in the preparation and review of SEC/NYSE filings (10-K, 10-Q, Form 8, Form 4, etc.)  Provide corporate governance support for our subsidiaries, including drafting written consents and resolutions, and otherwise assisting the global teams in managing corporate books and records.Support global subsidiary formation and management.Stay abreast of relevant laws, regulations and industry trends to ensure compliance.Juris Doctorate from an ABA-accredited law school and a member in good standing of a U.S. state barExtensive experience (5+ years relevant experience) practicing corporate, finance or tax law within a reputable law firm or in-house legal department.In-depth knowledge of corporate law, contract law and regulatory frameworks.Proven track record of providing strategic advice and managing complex matters.Strong analytical skills with the ability to interpret and apply corporate law in a commercial context.Excellent communication skills and comfortable interfacing with senior management with the ability to collaborate effectively across departments.Strong experience handling international corporate matters, including cross-border transactions and global governance

The compensation that will be offered to the successful candidate will depend on factors such as whether the position is covered by a collective bargaining agreement, the geographic area in which the work will be performed, market pay rates in that area, and the candidate’s experience and qualifications.


The company will not pay less than minimum wage for this role.


The compensation for the position is: $182,912.80 - $215,191.53
