Senior Legal Counsel

ADP is hiring an experienced attorney, based in Barcelona or London, to serve as an integral member of ADP’s Global Contracts Team. The Senior Counsel will lead the negotiation of contracts of varying complexity supporting ADP’s  businesses in the United Kingdom, North America and globally. The successful candidate will have a strong business orientation and be responsible for collaborating across business units and product areas. This highly visible role offers the opportunity to  advise senior business stakeholders, including Sales, Finance, the Global Security Organization and Service, on contract strategy, legal risk and risk mitigation. The successful candidate will also be instrumental in helping to drive innovation in the ADP contracting process.

Responsibilities:

 

Job duties may change over time and additional job functions may become essential. Use balanced lawyering to negotiate, draft and close a wide variety of complex in-country and cross-border technology and outsourcing agreements (including master services agreements) and other legal documents with existing and prospective clients and partners in the U.K., North America and globally under limited supervision. Work effectively with business leaders in EMEA and North America to reach successful outcomes in contract negotiations. Interface with all levels of ADP associates to advise on contract-related matters and ensure contract terms are consistent with ADP's business practices, policies and goals (financial, fiscal, strategic, etc.). Serve as a critical partner with Sales, business stakeholders and other leaders to drive improvements in the contract process and documentation Assist with the creation and maintenance of standard agreements, and the development of alternate contract clauses libraries and guidelines for the contracts team. Develop and conduct periodic training on contract term positions and the contract process in general for sales and business colleagues. Assist in connection with responses to RFPs. Represent the Global Contracts Team in strategic projects within the legal organization and ADP. Provide general legal advice as required on other matters. Must be able to contribute to, and maintain, ADP's culture of innovation and growth while effectively managing risk. Perform special assignments and manage projects as directed by the VP, Managing Counsel -- Global Contracts Team or other executive leadership.

 

Qualifications Required:

Juris Doctor degree. Fluent in English. Be licensed to practice law in the United Kingdom. Minimum of 8 years of relevant legal experience, preferably with at least 2 years at a top international, U.K. or Spanish law firm and 5 years in-house experience. Experience working with business leaders and representing the legal department in cross-functional projects. Familiarity with European or U.S. privacy laws preferred. Experience with outsourcing arrangements, technology contracts and software-licensing is a plus. Experience with M&A and civil law legal systems is a plus. Excellent verbal and written communication skills, and ability to work under pressure and meet critical deadlines. Must have good interpersonal skills and be able to interface effectively with associates at all levels of ADP management, external attorneys, and business associates of clients and partners. Must demonstrate the ability to be assertive while maintaining a diplomatic and professional demeanor. Must be a self-starter, able to independently manage transactions to completion and anticipate issues that may arise. You must be able to accommodate limited travel.

 

The position will be based in Barcelona or London. Working remotely two days per week is possible.
