We are looking for a Senior Legal Counsel - BD and M&A who is strategic, collaborative and has excellent drafting and negotiations skills to join our Corporate Secretariat, Legal Finance and Mergers & Acquisitions team, based in our headquarters in Brussels, Belgium.
About the role
As a Senior Legal Counsel – Business Development (BD) and Mergers & Acquisitions (M&A), you will provide trusted legal counsel to the Global BD and M&A organization in a wide range of strategic transactions.
Who you’ll work with
You will report to the Head of Legal - BD and M&A and will be part of the Corporate Secretariat, Legal Finance and M&A team In this position, you will be working closely with BD - M&A personnel and cross-functional stakeholders. You will also have regular interactions with senior leadership, third parties and outside counsels.
What you ’ll do
Provide legal guidance in a wide range of strategic transactions (such as in- and out- licenses, partnerships, merger & acquisitions, asset sale and divestments, joint ventures, R&D collaborations…).Manage and coordinate all legal aspects of BD and M&A transactions (including non-disclosure agreements, legal due diligence, filing requirements (where applicable and if needed with outside counsel support), drafting and negotiation of transaction documents, closing and post-closing legal actions);Provide general legal advice or opinions in matters pertaining to strategic transactions and Alliance & Integration Management;Contribute to knowledge management initiatives in the BD and M&A field, including contract lifecycle management projects and the continued awareness and education of BD – M&A stakeholders and the broader transaction lawyer community on important evolutions of law.Manage and work with outside counsels as and when necessary and monitoring legal spend.
Interested? For this role we’re looking for the following education, experience and skills
Master’s degree in law. Licensed attorney or qualified solicitor in relevant jurisdictions (EU, UK, or US).8+years of experience as in-house lawyer or as attorney in a law firm specializing in corporate and commercial laws with a minimum of 2 years of experience in life sciences, healthcare, biotechnology, or medical devices in an international environment.Experience in cross-border BD and M&A transactions, is a must.Ability to lead and manage complex projects comprehensively in an autonomous manner.Great communication skills and strong business acumen.Fluent in English; additional languages (e.g. French/Dutch) are a plus.Flexibility (including for Eastern and Pacific Time Zone hours) and ability to adapt easily to different types of projects and business evolution.
