Your role and responsibilities

The Senior Legal Counsel for Finance will provide strategic legal advice and guidance to the company's global treasury operations, driving adherence to regulatory requirements, managing financial legal risks, and supporting corporate finance initiatives.This role demands a legal professional who thrives in a dynamic, high-stakes environment, combining technical expertise with business acumen and a collaborative spirit to support the company’s global Corporate Treasury function.The role reports to the Head of Legal Finance. Working model: hybrid #LI-hybridThe preferred locations for the role are Zurich or Rotterdam.Responsibilities include:Drafting and revising intra-group agreements and creating new templates in English (e.g., service level agreements, loan facilities, novation agreements, amendments).- Reviewing and negotiating a variety of contracts with banks, such as revolving credit facilities, guarantee umbrella facilities, banking terms and conditions, ISDA Master Agreements, supply chain finance agreements, factoring agreements, cash pooling arrangements, SWIFT/SCORE agreements, custody agreements, and indemnity agreements.- reviewing and negotiating agreements related to treasury management systems and trading platforms; - assisting the Corporate Treasury function in the renewal of global credit facilities and bond issuance programs, as well as bond issuances; - supporting the Corporate Treasury function in handling M&A projects; - negotiating parent company performance guarantees with customers;- preparing corporate authorizations (e.g. board resolutions) for the Corporate Treasury legal entities in Switzerland, the Netherlands and the USA; - monitoring regulatory changes and developments in Switzerland, the EU and the USA that are relevant for the Corporate Treasury function globally and its legal entities in Switzerland, the Netherlands and the USA; - advising the Corporate Treasury teams on managing KYC requests from counterparty banks; - supervising the signature process of finalized agreements as well as their proper filing in the Corporate Treasury database.

Qualifications for the role

Law degree (preferably a Master’s degree in international, business, or corporate law) and bar admission (qualified lawyer).Extensive knowledge of banking, finance, and corporate law, including conflict of laws issues.Minimum 10 years of post qualification experience (pqe) as a capital markets/finance lawyer, with time spent in both in-house roles and global law firms.Demonstrated transactional experience.Broad understanding of treasury-related matters, including tax, accounting, and compliance.Exceptional communication, negotiation, and drafting skills in English, with strong attention to detail.Outstanding research skills, with the ability to interpret complex financial and banking regulations and explain them in simple terms.Ability to work independently with minimal supervision while being an effective member of a global team.Solid judgment, combining legal analysis with a practical, business-oriented approach.Strong organizational skills, including the ability to prioritize effectively under pressure.
