About the role :
A newly created opportunity has arisen for a commercially minded Mergers and Acquisitions (M&A) legal professional who is interested in pivoting their career, to lead our M&A underwriting business in Japan as our Senior M&A Underwriter within the Financial Lines team. This role reports to our Head of M&A, Asia Pacific.
In this role, you will leverage your understanding of complex M&A transactions from your previous legal background to draft legal and commercial documents, negotiate with our advisors, clients, and key stakeholders. You will ideally be based in our Tokyo office or another APAC region with frequent travel to Japan. In close collaboration with the wider AIG team globally, you will be responsible for executing commercial decision making against a backdrop of legal risk assessment. This is a unique opportunity to showcase your skills and capabilities and take a leading role to grow our business in Japan.
What you need to know:
+ Underwriting of corporate transaction across Asia Pacific risks (warranty & indemnity, fiscal event (tax));
+ In conjunction with APAC M&A Manager, to timely deliver bespoke transaction insurance documents on transaction risk deals;
+ Build commercially successful relationships with M&A production and distribution sources – with focus on brokers, law firms, investment banks, accountants, and private equity funds;
+ Regularly attend external client meetings, commercial and legal seminars with a view to building relationships; and
+ Work with Relationship Managers across the Region to help source or produce commercial lines business on APAC transactions.
What we’re looking for:
+ Qualified Attorney with experience in corporate M&A and/or Finance.
+ Proficient in Japanese and English, both written and verbal.
+ Knowledge of transactional legal exposures (warranty breaches, tax structuring issues, litigation and computation and measure of damages).
+ General knowledge of and ability to comprehend financial statements/financial reports/commercial reports.
+ Able to communicate clearly and be detail oriented.
+ Demonstrated experience of handling pressure and delivering results, with a client and customer service orientation.
+ Strong presentation skills given the requirement to deliver presentations to our brokers, regional offices, legal advisors and other stakeholders.
+ Experience in insurance sector or other financial institutions is desirable.
