Job Purpose
Reporting to the Regional Chief Legal Officer, Asia Pacific, the candidate will be responsible for managing all legal related aspects of M&A transactions in the Asia Pacific region. The candidate will also handle all legal issues and related matters, in addition to giving advice and guidance in legal matters to the respective OEs in the region in order to reduce legal risks.
What you do
Lead responsibility for the provision of legal and regulatory advice and transaction support on M&A and joint venture transactions in the Asia Pacific region, including regional partnerships, strategic corporate transactions and similar matters (with support from external legal counsel as applicable). Such responsibilities include advising on deal structuring, identifying and addressing legal risks, negotiating with counterparties, leading the review transaction documents and managing external counsel, etc. Advising AZAP senior management and OE CEOs and working closely with Group Legal on legal risks relating to such matters. Responsible for negotiating and drafting a range of commercial agreements, ranging from NDAs, simple commercial contracts to large complex and cross border transactions. Provide business oriented legal advice to ensure adherence to applicable law and regulations, and able to communicate to AZAP / OE senior management the legal risks. Supervise and monitor corporate governance of OEs in the proper handling of board and shareholders’ meetings in compliance with applicable legal and regulatory requirements. Supervise and monitor implementation of OEs in relation to legal aspects of Group projects and initiatives. Oversee and lead legal aspects of regional projects and supervising OE’s local legal teams in relation to such regional projects, in alignment of the Group / Regional strategic direction. Responsible for engagement of external legal counsel, and ensuring quality of services and cost implications of such engagements.
What you bring
Strong M&A experience and proven track-record of executing M&A transactions across the Asia Pacific region. Sound experience working on commercial contract negotiation and management and must have demonstrated corporate law and corporate governance experience. Strong legal drafting skills with high attention to detail. Self-motivated and have ability to work independently. Strong analytical, thinking and implementation skills and ability to problem-solve and provide pragmatic solutions. Strong communication skills and ability to interact with business leaders and manage a team effectively. Ability to multitask and handle multiple deals / timelines. Direct deal experience performing due diligence, drafting, negotiating transaction documents, coordinating across-functional deal teams. Experience reviewing, drafting and negotiating complex legal agreements. Experience working internationally across multiple jurisdictions, particularly in the Asia Pacific region. M&A experience in the financial services industry and bancassurance arrangements in Asia Pacific Fluent verbal and written English and second Asian language (Mandarin strongly preferred). Proven team player and ability to establish and maintain working relationships with colleagues from different backgrounds, functions and cultures. Law degree (LLB) or equivalent 8+ years post qualification experience as privace practice attorney or in-house counsel with a multi-national corporation Qualified lawyer
