About the Role

The Corporate Counsel / Senior Manager is responsible for providing legal and/or business support to the Digital Transformation Solutions Strategic Business Unit (“DTS SBU”).  This position will report directly to Director-Legal.  The Corporate Counsel II will work closely and strategically with the Legal and Compliance leadership to support operational, functional and/or business clients on significant matters impacting the global enterprise.  The successful candidate must be able to handle complex negotiations and successfully and timely complete assignments assigned by legal leadership with minimal supervision.  The Corporate Counsel II must also have a broad understanding of Harman’s business objectives and the impact of external factors on the DTS SBU and on Harman’s corporate function including, but not limited to corporate tax and/or treasury, engineering, marketing, human resources, finance, and information technology.

The Corporate Counsel II will support senior attorneys with the following:  negotiating and drafting agreements for DTS SBU, consult with and advise internal clients, research and analyze legal issues, execute legal projects or initiatives, and provide strategic legal advice on legal issues that contribute and grow SBU market share or minimize SBU risk of financial loss or company good will.  Proficiency in contract review, drafting, and negotiation experience related to commercial & business agreements is required.  Must be able to collaborate with internal stakeholders. Additionally, the successful candidate will have strong communication skills for purposes of interfacing with key customers and senior legal leadership. This role will also support senior attorneys in contract reviews and broad legal matters.

What You Will Do

Managing Legal and Business Risk

Reviewing, drafting, and negotiating a wide variety of commercial agreements and amendments, including master services, licensing, professional services, marketing, joint venture, and vendor agreements under the supervision of senior attorneys.

Providing practical, creative legal advice on a broad range of topics as assigned by senior attorneys in a fast-paced, high growth environment.

Working closely with the senior attorneys to support the teams charged with generating business and proactively establishing relationships across the legal team and with other departments including operations, marketing, finance, product, and engineering, among others.

Assisting with corporate, compliance, and other legal matters as requested.

Provides specialist legal support in terms of consulting and advising internal clients, coordinating with external counsel on case strategy, negotiating with contractors, and/or representing the company in important legal matters.

Promptly and effectively addresses unforeseen legal risks if they arise and communicates to legal colleagues within the legal department in a timely manner; processes, uncertain, or incomplete information quickly to identify potential implications for the business.

Negotiates and drafts contracts for SBU or function as assigned by the senior attorneys.

Understands key regulatory, ethical, and reputational risks facing their primary business client.

Collaborates with other legal and compliance staff and organizational partners to develop, update and maintain templates, negotiation resources and playbooks.

Contributes to development and implementation to scale commercial legal processes.

What You Need

The candidate should have bachelor’s in law degree and admitted to Bar in India.

Must be able to demonstrate a basic level of analytic and project management skills, task-focused, works on own initiative to get things done, is able to work under pressure, and manage multiple stakeholders.

Exercises good judgement and sound decision making.

8+ years of relevant (in-house or law firm)

Experience in working with IT services organization is preferred.
