Job Description:

Education:

Juris Doctor from an accredited law schoolMembership to at least one State Bar

Work Experiences:

Approximately five years of corporate law experience with a major law firm and/or public in-house legal departmentSignificant experience with matters relating to corporate governance, policy governance, entity management, securities, tax, accounting and financial reporting, internal controls, corporate responsibility, capital markets, tax, and regulatory reportingIn-house legal department experience at a retailer with at least $1 billion in revenue, preferredWorking with and providing sound advice to executive leadership and senior managementWorking with and as a member of cross-functional teamsManaging multiple enterprise projects and meeting deadlinesKnowledge/familiarity with SEC filing software (Workiva) preferred

Skills:

Strong legal background with corporate matters, especially with corporate governance, policy governance, entity management, securities, corporate responsibility, and financial reportingKnowledge of securities law, Delaware law, Nasdaq listing rules, and corporate governanceAbility to negotiate, write, and explain a wide range of contractsCapable of interacting with, and establishing the respect and confidence of, senior business leadersAbility to provide timely and effective legal and business advice and support at all organizational levelsStrong work ethicEnergetic and focused personalityAbility to take and manage a high volume of matters at any given time, work well under pressure, successfully handle, and prioritize multiple competing assignments, and effectively manage deadlinesInitiative-taker with the ability to project manage independentlyBusiness-oriented contributor and a flexible team player, with the ability to partner across departments in order to provide legal support that will enable teams to do business effectivelyAbility to analyze complex matters and propose creative and practical solutionsStrong interpersonal, written, and verbal communication skills to interface effectively with individuals at various levelsProfessionalism, judgment, personal integrity, and confidentiality

Responsibilities:

Provide strategic advice/counsel on all aspects of corporate governance mattersDevelop standardized forms and administer procedures and work with business owners to periodically review/update internal Company policies and chartersPeriodically review/update Board policies and charters, and related organizational documentsOversee/administer parent and subsidiary entity management, corporate records, and related complianceAdvise on securities, financial reporting, and disclosure-related mattersAdvise on other legal matters as needed, including commercial contracts and complianceProvide legal support to various departments, including Accounting, Finance, Tax, Treasury, Internal Audit, and CompensationSupport and work closely with Associate General Counsel & Assistant SecretaryManage regulatory reporting responsibilities, including Form SD (conflict minerals) and Forms 3s/4sKeep the Company updated and advised on external corporate governance trends, general legal issues, and best practicesPerform independent legal researchDraft and negotiate strategic corporate transactionsParticipate in the definition and development of policies, procedures, and programs, and provide continuing counsel and guidance on implications of all legal mattersSupport preparation of financial budgetRequired to learn company policies and proceduresDuties may change; Team Member may be required to perform other duties as assigned
