Job Description:
The Tax Manager – Mergers and Acquisitions is responsible for driving tax strategy and operations throughout the M&A lifecycle, from due diligence and transaction structuring to contract review and negotiation. Reporting to the Global Tax leadership team, you will collaborate closely with cross-functional teams and external partners to optimize tax outcomes and mitigate risks associated with M&A activities. This role requires a dynamic tax professional with mastery of tax, valuation, and business principles, exceptional project management skills, and a passion for value creation.
M&A Due Diligence:
Facilitate and coordinate tax due diligence processes for potential M&A transactions, evaluating tax compliance, business models and transfer pricing, tax exposures, and value creation opportunities.
Conduct detailed reviews of target companies' tax positions, identifying risks and opportunities for tax planning and optimization.
Prepare comprehensive due diligence reports and review findings with senior management and key stakeholders.
Transaction Structuring:
Provide strategic tax advice and support in structuring M&A transactions to achieve optimal tax efficiency and mitigate tax risks.
Analyze various transaction structures, including asset acquisitions, stock purchases, and reorganizations, to determine the most advantageous tax approach.
Collaborate with legal, financial, and corporate development teams to develop and implement tax-efficient transaction structures aligned with business objectives.
What are we looking for?
Bachelor’s degree in accounting or finance from an accredited university required.
Master’s degree in taxation preferred.
Certified Public Accountant license preferred.
6+ years of experience in tax consulting, corporate tax, or M&A tax advisory roles, with a focus on transactional tax matters.
Deep understanding of U.S. federal, state, and international tax laws and regulations, particularly as they relate to M&A transactions.
Proven track record of managing complex tax due diligence processes and develop tax-efficient transaction structures.
Excellent contract review and negotiation skills, with experience negotiating tax-related terms in M&A agreements.
Strong analytical, problem-solving, and communication skills, with the ability to effectively engage and influence stakeholders at all levels of the organization.
Have an ability to lead others indirectly, will mentor junior staff.
What will be your key responsibilities?Contract Review and Negotiation:
Review and negotiate tax-related terms in M&A transaction documents, including purchase agreements, tax indemnification provisions, and representations and warranties.
Collaborate closely with legal counsel to ensure tax considerations are appropriately addressed in transaction agreements and contracts.
Advocate for favorable tax treatment and provisions that protect the company's interests during contract negotiations.
Tax Integration and Reporting:
Partner with integration teams to facilitate the seamless integration of acquired companies from a tax perspective.
Coordinate with cross-functional teams to address tax-related challenges and ensure compliance with integration timelines.
Oversee tax compliance requirements related to M&A transactions, including tax reporting, filings, and disclosures.
Monitor changes in tax laws and regulations affecting M&A transactions and advise on potential impacts to the company.
Other Tax Planning and Strategy
Work with the Global Tax Planning Director and business leaders on strategic initiatives and special projects.
Identify opportunities for tax optimization, including tax-efficient structuring of transactions, utilization of tax incentives and credits, and implementation of transfer pricing policies to enhance overall tax efficiency.
Collaborate with internal stakeholders, including finance, legal, treasury, and business units, to provide tax advice and support for various initiatives, projects, and transactions.
