Job Summary:

The Senior Legal Manager will act as an independent legal advisor and the primary contact for relevant legal issues. Responsibilities include managing all legal affairs in Japan and the Outdoor & Recreation Segment operating in the Asia-Pacific region, addressing a wide range of legal matters such as contract review and negotiation; providing advice on marketing and advertising claims; regulatory compliance advice; administering legal topics training; supporting the company data privacy program; and assisting with key strategic initiatives, including reorganizations, mergers & acquisitions, and ecommerce matters; supporting supply chain activities, HR & supporting functions, and any ad-hoc tasks assigned by the managing counsel APAC. Job duties may be periodically adjusted at the company's discretion.

 

Job Duties:

Negotiating, reviewing, and drafting of commercial agreements and contract template, including distribution, agency, sales, concession, franchise, wholesale, procurement, and supply chain. Giving timely counsel to executives and stakeholders in a variety of legal topics, such as contracts, compliance, litigation, etc. Managing external legal counsel to devise efficient defense strategies and solutions for complex legal issues and disputes. Leading and coordinating the actions related to legal proceedings and maintaining contacts and coordination with external counsel in such proceedings. By collaborating with other member of the legal team, either from the APAC region or Global, support marketing and IT functions to enable new branding events or digital innovations, by providing practical legal advice for operations, consistent guidance on rules, terms and conditions, policies, statements etc. across the APAC region. Partner with and support regional quality team and product team on product content compliance issues, to review and approve the content of product, labeling matters as well as marketing claims from APAC region level. Advising on consumer and product regulatory issues. Keeping abreast of the latest legal developments and trends that may affect the corporation’s business and operations Coordinating with and providing general local support to U.S. attorneys on specialist legal matters, including intellectual property, labor and employment, corporate secretarial and litigation issues. Gathering feedback, providing inputs, and develop/improve regional policies and procedures when necessary to address additional regional needs Develop or localize training materials and provide the training to internal clients Providing support for corporate governance and secretarial matters, including executing corporate resolutions and supporting certificate renewals Providing support to global and local customs teams Educating and training employees in Japan on legal matters, policies, and procedures Participating in and supporting internal reorganization projects. Monitor and provide advice with respect to privacy and data security issues including cyberlaw relevant issues and work with global privacy and security team to provide implementation and collaboration in relevant initiatives and projects

 

Qualifications:

Legal Degree Licensed to practice in Japan or any jurisdiction in APAC 5+ years relevant experience preferred In-house Counsel experience strongly preferred Experience with Consumer Goods industry Experience with laws and regulations applicable to data privacy and ecommerce English language proficiency, including the ability to draft contract provisions in English Hands-on legal professional possessing outstanding technical, analytical skills, communication and influencing skills Experience in commercial law Ability to communicate effectively with internal management and outside parties Legal practitioner with excellent communication and interpersonal skills Proactive and dynamic team player, with a high level of energy and ability to work independently Ability to work in an organized, detailed manner under tight deadlines Proficient in use of office software
