Job Description

We are seeking an attorney to support Visa’s Corporate Law organization. The position is based in San Francisco, California and reports to the SVP, Chief Counsel, Corporate.   

The Sr. Managing Counsel, Corporate Governance will be responsible for advising the Company in the areas of corporate governance, corporate finance, and securities laws, as well as providing support to the Board of Directors.  Responsibilities will include:

Provide expert advice and counsel to executive team on corporate law and governance matters, including NYSE and SEC requirements 

Support the Board of Directors and its committees, including the preparation of meeting agendas, pre-meeting materials and board books, resolutions and meeting minutes

Manage the execution of annual shareholders meeting and provide disclosure advice and legal support to investor relations in connection with shareholder meetings, earnings releases, analyst meetings, shareholder engagement and other public announcements and events

The role requires significant and active collaboration with other functions within the Company, including regional Legal and Risk teams based across the globe

This is a hybrid position. Expectation of days in office will be confirmed by your hiring manager.

Qualifications

Basic Qualifications

12 or more years of work experience with a Bachelor’s Degree or at least 10 years of work experience with an Advanced degree (e.g. Masters/MBA /JD/MD), or a minimum of 5 years of work experience with a PhD


Preferred Qualifications

15 or more years of experience with a Bachelor’s Degree or 12 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, or MD), PhD with 9+ years of experience15+ years of legal experience in corporate, governance and securities matters.Combination of law firm and in-house experience is strongly preferredDemonstrated leadership and management ability and strong interpersonal skills to drive execution in a team environmentExcellent written and oral communication skillsDeveloped business acumen, with ability to understand the company's business interests and anticipate the nature and magnitude of issues that could arise in various settingsPractical and proactive problem-solver, confident, mature, calm under fire, with a positive attitudeStrong work ethic for a fast-paced environmentJuris Doctorate degree from an accredited law school                                                                       Current member in good standing of a State Bar with the ability to become barred or a registered in-house counsel in the state where this role is located

Additional Information

Work Hours: Varies upon the needs of the department.

Travel Requirements: This position requires travel 5-10% of the time.

Mental/Physical Requirements: This position will be performed in an office setting.  The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers.

U.S. APPLICANTS ONLY: The estimated salary range for a new hire into this position is 243,600.00 to 335,000.00 USD per year, which may include potential sales incentive payments (if applicable). Salary may vary depending on job-related factors which may include knowledge, skills, experience, and location. In addition, this position may be eligible for bonus and equity.
