This is an exciting opportunity to join the Textron corporate legal team. The Staff Attorney, Global Anti-Corruption Compliance (GACC) will contribute to work that matters, conducting legal reviews of due diligence records, serving as the subject matter expert for GACC policy-related questions, and providing support to the Executive Counsel – Anti-Corruption Compliance with anti-corruption risk assessments and investigations. The selected candidate will have demonstrated analytical and decision-making abilities and a strong interest in gaining expertise in Global Anti-Corruption Compliance.

Key Job Responsibilities:

Conduct legal reviews of due diligence records for Textron Covered Business Partners (“CBP”) operating throughout the world:Review compiled CBP responses and supporting documentation - identify red-flags and risks to the company that may exist in any proposed third-party relationship.Analyze potential adverse information identified in media searches and denied party screening processes.Review and analyze local law summaries pertinent to any third-party CBP agreement to ensure that the proposed relationship would comply with applicable laws.Review and analyze outside counsel opinions concerning any investigations involving the CBP or local law.Assess Textron Business Unit rationale, proposed compensation and other factors in connection with the requested CBP review.Coordinate with Textron Business Unit Legal Counsel regarding questions, red-flags and other potential issues that may be raised during CBP due diligence to assess risk, identify follow-up actions or recommendations for mitigating GACC risk to the Business Unit and Textron.Develop guidance and provide Textron Corporate Officer with an overview of due diligence and recommendations concerning requests from Textron Business Units to appoint or retain a CBP, or requests to amend existing CBP agreements.Serve as a subject matter and legal resource for GACC Policy related questions, including but not limited to questions and issues involving due diligence for third party Business Partners, transactions with government customers, gifts, hospitality, entertainment and travel for government officials and others, charitable contributions outside of the U.S. and GACC training needs; and provide guidance to Textron Business Units concerning the CBP review process.Assist Executive Counsel – Anti-Corruption Compliance with:Developing and drafting updates, revisions and clarifications to Textron’s GACC Policy, Supplement, supporting exhibits and procedures.GACC risk assessments and providing support to Textron Business Units to implement new processes required for compliance with Textron’s GACC Policy.Implementing new procedures or protocols and providing training to Textron Business Units as needed.Identifying and analyzing changes to U.S. and foreign anti-bribery laws (“Global Anti-Corruption Laws”) or guidance concerning Global Anti-Corruption Laws, and determining impact to Textron’s policies, practices and procedures.Reviewing all non-U.S. charitable contribution requests from Textron Business Units in accordance with requirements set forth in the GACC Policy, identify any GACC related red-flags or issues and provide recommendations to Textron’s Executive Counsel – Anti-Corruption Compliance as to whether they should be approved.Providing support, as needed, for anti-corruption investigations.Providing support for the process for monitoring of gift and entertainment expenses, including providing legal review, as needed.Providing support and guidance to Textron Business Units concerning the engagement of freight forwarders and customs brokers.Developing and delivering training to Textron Business Units on GACC and other compliance related topics and supporting training of Business Units’ CBPs.Protect and maintain the privacy of employee personnel records including, but not limited to, personal and compensation information about employees.Other duties, as assigned.

Education:

Law degree from an accredited institutionAdmission in good standing to a State BarCorporate or law firm experience on compliance matters, specifically anti-corruption compliance, preferred.

Work Environment:

This is an on-site position in Providence, Rhode Island that allows for regular engagement with the Corporate Office team to foster collaboration, collegiality and communication. Occasional travel is required.
