Staff Counsel
Dickinson Financial Corporation
**Summary**
Reporting directly to the Associate General Counsel, and indirectly to Senior Counsel for assigned projects, and is responsible for providing legal advice to assigned business units and retail banking facilities for Dickinson Financial Corporation and its subsidiaries and affiliates (collectively, the Company).
**Responsibilities**
+ Deliver timely, high quality, value added legal advice and/or work product to all business units and operating/support functions on a broad spectrum of matters, including, those above and, without limitation:
+ Regulatory and Compliance
+ Employment and Human Resources
+ Loan Operations
+ Retail Banking Operations
+ Collections, Workouts
+ Contract Review and Negotiation; Contract Administration
+ Branch and Operational Matters
+ Policies and Procedures - Interpretation and Enforcement
+ Legal Research and Due Diligence
+ Process Improvements/Cross-Functional Projects
+ Training
+ Advise branches and Deposit Operations on legal documents, account titling, and resolution of customer disputes to prevent or limit escalation.
+ Assist with vendor contract review as directed by Senior Counsel or Associate General Counsel
+ Assist with review of various banking agreements with customers including, but not limited to, Deposit Account Agreement, eBusiness Banking Agreement, and Wire Transfer Agreement as directed by Senior Counsel or Associate General Counsel.
+ Work with outside counsel and loan teams on commercial loan documentation, structuring and due diligence matters.
+ Review and analyze due diligence matters, including title and survey matters, borrower organizational structures, transaction structuring and large credit documentation analysis.
+ Identify and develop other commercial lending infrastructure projects, including libraries of confidentiality agreements, term sheets and participation agreements.
+ Work with commercial lending closing group (“Closing”) to monitor and coordinate the commercial lending pipeline.
+ Provide Closing with background and education on commercial lending matters, including documentation, title and survey, and borrower organizational structures.
+ Assist the small business lending and consumer lending teams on focused projects and issues as requested, such as small business loan documents and borrower authority concerns.
+ Coordinate retention on external counsel for loan originations and other projects.
+ Keep fully informed on legal, legislative, and regulatory matters that may impact the Company as directed by Senior Counsel or Associate General Counsel; and
+ Protect all client and bank information confidentially and follow all company policies.
+ Understand, communicate, and instill the Company’s mission, vision, and values (Pillars of Success).
+ Complete monthly training in a timely manner to ensure knowledge of bank regulatory requirements, policies, and procedures.
+ Working at the worksite during regular business hours and/or assigned hours.
+ Other duties, research assignment and projects as assigned by Senior Counsel or Associate General Counsel
**Education & Experience**
+ Juris Doctorate Degree from Accredited Law School, licensed in Missouri and/or Kansas.
+ At least four to six (4-6) years in practice preferably involving representation of financial institutions or work involving lenders and banking.
**Physical Requirements**
The work environment is typical of a standard office or retail banking setting. The position is sedentary, involving sitting most of the workday; however, the position will involve moving about the workspace to reach entrances/exits, restrooms, conference rooms, or other areas within the work environment. Reaching may be required involving the ability to move arms in any direction. Office equipment, such as a computer and telephone, will be used requiring the ability to manipulate a keyboard, mouse, and/or keypad. The ability to decipher a computer screen or written documents is necessary. The ability to express or exchange ideas; impart information to clients, coworkers, or the public; or to convey detailed or important instructions; is required. The ability to receive and understand detailed information shared through oral or written communication is required.
