Tech & Data Attorney

> Provide commercial contracts support across a broad range of third-party vendor agreements including technology hardware, software and services; professional services and corporate services, in particular:
o structure, review and negotiate agreements;
o interpret legal and regulatory developments impacting commercial vendor transactions, outsourcing and technology;
o advise on liabilities, legal rights and remedies available to the Firm under commercial vendor agreements;
o collaborate with regional colleagues to develop and maintain a suite of global template form documents;
o advise on structuring, use and deployment within the Firm of technologies (including emerging technologies) in line with applicable technology laws and regulations;
o collaborate with other legal department staff to evaluate and help design products, services and technologies for external deployment (e.g. to clients, employment candidates and other third parties) in line with applicable technology laws and regulations;
o deliver training and awareness building for vendor selection, onboarding and management teams, Compliance, Risk and other business partners.
> Partner and collaborate with the rest of the Global Technology and Data Legal team, including the intellectual property legal team and the privacy and cybersecurity legal team.
> Support the global vendor management program.
> Research legal issues related to commercial contracts, outsourcing and technology including emerging technologies (i.e., cloud, artificial intelligence/machine learning, fintech, data usage, crypto currency/block chain).
> Prepare contract abstracts/summaries.
> Ensure compliance with current company processes and procedures.

> A Qualified Lawyer in the US, UK, or a Common Law Jurisdiction with 6 years of relevant legal experience (either at a major law firm and/or in-house).
> Experience in structuring, advising, and negotiating commercial agreements (experience in negotiating technology agreements and/or within the financial services sector preferred but not required).
> Highly motivated and independent self-starter; comfortable learning new legal areas and skills.
> Ability to distil and communicate complex ideas in a clear, commercially astute manner that supports internal clients in making difficult decisions and ability to show sound judgement even in ambiguous situations.
> Excellent organizational skills with experience of managing multiple time-sensitive projects simultaneously.
> Lateral thinking/ problem solving.
> Ability to collaborate with and contribute successfully to cross-functional teams.
> Strong written and spoken communication and inter-personal skills.
> Ability to work from Morgan Stanley's New York/ Alpharetta office at least 3 days per week.

Expected base pay rates for the role will be between $110,000.00 and $190,000.00 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
