Technology Licensing and Commercial Transactions Counsel - Legal & Compliance

What's the role?

We are seeking a commercial transactions attorney with experience negotiating sophisticated technology licensing and other agreements to join our in-house legal department. You will be responsible for the review, drafting and negotiation of a wide-range of commercial contracts including agreements relating to technology transactions, software licensing, software as a service, services, outsourcing, reseller and manufacturing and media-related agreements. In addition, you will advise clients on a broad range of commercial legal matters, including software development, open source licensing, technology-related services and software compliance. Partnering with Engineering, Information Technology, Supply Chain, Vendor Risk and Facilities teams, you will have the opportunity to provide support on commercial and technology-related transactions and intellectual property-related issues.

We'll trust you to:

• Review, draft and negotiate a wide range of complex commercial agreements, including software licenses, SaaS agreements, service contracts, outsourcing arrangements and media-related deals. • Manage multiple matters efficiently and independently in a fast-paced, dynamic environment while maintaining high standards of quality and attention to detail. • Communicate complex legal concepts clearly and effectively to cross-functional stakeholders, including technical and non-legal audiences. • Proactively identify potential legal and business risks and help develop practical, business-oriented solutions. • Contribute to a collaborative, inclusive, and impact-driven legal team that values innovation, partnership and a commitment to excellence.

You'll need to have:

• Juris Doctor (JD) degree from an accredited law school. • Licensed to practice law in New York and in good standing. • 5+ years' experience as an attorney negotiating and drafting software licenses, technology-related services and media-related agreements, and other types of commercial contracts, as well as advising on intellectual property and licensing issues • Efficiently manage a large volume and variety of general matters, negotiate numerous standard and complex corporate and commercial agreements, all in a dynamic, fast-paced environment • Ability and desire to contribute in a collaborative fashion, with an emphasis on team values, goals and objectives • Ability and desire to communicate effectively with engineers, software developers, product development, R&D and other teams, including strong software technology and development knowledge or experience • Superior writing, analytical and communication skills • Strong attention to detail and outstanding organizational skills

Salary Range = 180000 - 200000 USD Annually + Benefits + Bonus
The referenced salary range is based on the Company's good faith belief at the time of posting. Actual compensation may vary based on factors such as geographic location, work experience, market conditions, education/training and skill level.
