About the role:

As an Underwriter focusing on Mergers & Acquisitions (M&A) Insurance, you will form part of a dynamic team of professionals that focus on developing our portfolio in Southern Europe and emerging markets in LATAM. You will directly report to the Transaction Risk Insurance Manager Southern Europe and carry out selection, analysis, and pricing of policies, as well as negotiate the insurance terms and conditions with brokers and insureds in order to issue the final contractual documentation. You will be key in helping build profitable relationships with brokers and insureds and your role will fully support and comply with the company’s objectives and standards.

Responsibilities:

Identify deal risks through the study and analysis of M&A transaction documentation, both public and private, as well as financial statements, due diligence reports, etc.Review M&A insurance submissions, prepare and submit quotes, liaise with brokers and secure businessFollow Underwriting guidelines and submit underwriting, pricing and negotiations recommendations to senior team membersProvide support to senior underwriters in all stages of the underwriting process, as well as project management, including monitoring transaction status, quoting and policy progress, premium statements and policy related documentationDraft, negotiate and adapt policy terms for the specific risks and challenges an M&A transaction presentsAssist and oversee the performance of external legal counsel representing the company in each M&A dealDevelop and maintain relationships with brokers, lawyers, private equity firms, deal principals and colleagues from Tokio Marine HCC offices worldwideAttend off-site conferences, sectoral events, seminars and meetings

Requirements:

Minimum 2 - 3 years’ experience in a role focused on transactions, e.g, law firm, corporate legal department, investment banking, advisory roles in financial services, private equity; or relevant experience in M&A underwritingBachelor’s in Law and LLM. Bachelor’s in Business Administration, Finance and Accounting is a plus.Excellent written and oral communication skills in Italian and English. Language capabilities in Spanish, Portuguese are a plus.Basic knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, etc.)Understanding of legal documentation, financial statements and tax documentationSpecific experience with negotiating or mediating representations and warranties or other transactional risk insurance is a plus.Legal practice exposure to IP and/or Litigation is a plus.
